This JB Pay Addendum (the "Addendum") is part of the Junglebee Operator Terms of Service (the "Terms") between Jungle Bee, Inc. ("Junglebee", "we", "us") and you, the Operator. Capitalised words have the meaning given in the Terms. If this Addendum conflicts with the Terms, this Addendum wins for anything to do with JB Pay.
You accept this Addendum by signing the JB Pay application in the Platform. It applies from the moment we approve your application and switch JB Pay on, and continues until JB Pay is switched off and all funds have been settled.
In plain terms. With JB Pay, your guests' card payments are charged into Junglebee's payment-processor account, not yours. We hold the money in a segregated account kept for operators, separate from our own money, and pay it to your bank account by transfer after each fortnightly period closes, less our 4% fee, card processing costs, refunds, chargebacks and anything else you owe us. You remain the seller of the trip; we are only your agent for collecting the payment. You decide refunds. If a guest charges back a payment, you bear it: we take it from your next payout, and if there is not enough we invoice you. We are not a bank, your money with us earns you no interest, and we can hold a reserve or delay payouts if your account becomes risky. Money for a trip booked months ahead stays with us until the trip has run and the period has closed.
1. What JB Pay is
1.1 JB Pay is a payment collection service. When a Guest pays by card for one of your Experiences through the Platform, the card is charged into a payment-processor account held by Junglebee (currently with Stripe). We receive the money, record it against your Booking, and pay it on to you under this Addendum.
1.2 JB Pay is currently available in US dollars only. Guests are charged in USD and you are paid in USD. Any currency conversion on the Guest's card or on your receiving bank account is at the Guest's or your cost and risk.
1.3 JB Pay is also used for every Agency sale of your Experiences, whatever your default rail, so that the commission split can be made (Terms, Section 6.1). An operator whose default rail is Stripe Connect is bound by this Addendum for Agency sales only.
1.4 Who can use JB Pay. JB Pay is available only to operators established in a Caribbean country or territory where Stripe does not support businesses. Operators in countries or territories where Stripe is available must use Stripe Connect. For clarity: operators established in Sint Maarten (Dutch side) are eligible for JB Pay; operators established in Saint-Martin (French side), which Stripe serves as a French territory, must use Stripe Connect. We decide eligibility, may ask for evidence of where your business is established, and may switch JB Pay off if you become ineligible, in which case Section 10 applies.
2. Appointment as your payment agent
2.1 Appointment. You appoint Junglebee as your limited-purpose agent to collect payments from Guests for your Experiences, to hold them for you, to deduct the amounts set out in this Addendum, and to remit the balance to you. Junglebee accepts that appointment. This agency is limited to payment collection and remittance; it does not extend to selling, delivering or making any promise about your Experiences.
2.2 Discharge of the Guest. When a Guest pays Junglebee for a Booking, the Guest's payment obligation to you for that Booking is discharged to the extent of the payment, as if the Guest had paid you directly. From that moment, Junglebee owes the collected amount to you (less deductions), and you may not pursue the Guest for it.
2.3 You remain the seller. You are the seller of record and supplier of every Experience. The processor account into which the Guest's card is charged is Junglebee's, and Junglebee is the merchant account holder with the processor for card-network purposes, but that does not make Junglebee the seller of your Experience or a party to your contract with the Guest. Card statements may show Junglebee's name alongside yours.
2.4 Guests are told. The booking page and the Guest Booking Terms tell Guests that Junglebee collects payment as your agent and that paying Junglebee discharges their payment to you.
3. Application and approval
3.1 JB Pay is off until you apply in the Platform and we approve you. The application asks for your legal business details and the country where your business is established, your beneficial owners and controlling persons, the bank account in your business's name for payouts, confirmation of your licences and insurance, a US tax status form (Form W-8BEN-E or other applicable W-8 for non-US businesses, or Form W-9 if you are a US person), and your typed signature of this Addendum. We will not make a payout until we hold a valid tax status form, and in any case must receive it within 90 days of approval.
3.2 Everything you tell us in the application must be true, complete and kept up to date. You must tell us within 10 days of any change to your legal entity, ownership, control, bank account, licences or insurance.
3.3 We may approve or decline any application at our discretion, ask for documents or verification at any time, re-verify you periodically, and share your information with our processor, banks and advisers for verification, fraud prevention and compliance.
3.4 Your payout bank account must be in the name of the business that holds the Operator account. We will not pay out to third parties or personal accounts of staff.
4. How funds are held
4.1 Segregated account. We hold Guest payments collected under JB Pay, pending payout, in a bank account designated for operator funds that is kept separate from Junglebee's own operating funds (the "Operator Funds Account"). We do not use operator funds for our own operations.
4.2 Not a bank. Junglebee is not a bank, trust company or licensed money transmitter and does not offer deposit, savings, escrow or investment services. Funds held for you are not a deposit by you, are not insured for your benefit by any government deposit scheme, and do not earn you interest. Any interest or return earned on the Operator Funds Account belongs to Junglebee.
4.3 Holding period. Funds arrive when the Guest books and leave when the Booking's trip has run and the relevant payout period has closed (Section 6). A Booking made months in advance means we hold that Guest's money until then. You accept this timing.
4.4 Our obligation. Our obligation to you in respect of collected funds is a contractual obligation to remit the amounts due under this Addendum. It is not reduced by anything in Section 14 of the Terms.
5. Fees and deductions
5.1 From the amounts we collect for you we deduct, before payout:
(a) the Platform Fee (currently 4% of the amount the Guest paid by card);
(b) card processing costs, at the processor's rates, as actually incurred on each charge and passed through at cost;
(c) refunds you have issued or we have issued under Section 7;
(d) chargebacks, dispute fees, fraud losses, fines and penalties under Section 8;
(e) Agency commission payable to Agencies on Agency sales;
(f) bank transfer costs for your payout, at cost;
(g) any other amount you owe us under the Terms or this Addendum.
5.2 If deductions exceed the amount we hold for you, the shortfall is a debt you owe us, payable within 14 days of invoice, and we may recover it from any later payout or by charging any backup payment method you have provided.
6. Payouts
6.1 Periods. Bookings are grouped into payout periods by the date of the trip, not the date of the booking: the 1st to the 15th of each month, and the 16th to the last day of the month.
6.2 Closing. A period closes when its last departure has run. We aim to pay each closed period within five business days of closing, by bank transfer to your registered payout account, and record the transfer reference in the Platform. This timing is a target, not a guarantee; we will tell you if a payout will be materially late.
6.3 Statements. The Platform shows you, for each period, the Bookings included, gross collections, each deduction and the net payout.
6.4 Status of Bookings. We may require that each Booking in a period be marked in the Platform as checked-in, no-show or cancelled before we pay out for it, so that the amount owed is settled.
6.5 Discrepancies. If you believe a payout is wrong, tell us at support@junglebee.com within 45 days of the end of the payout period, with details. We will investigate and correct genuine errors. After 45 days the payout is treated as accepted, except for errors we identify ourselves.
6.6 Incorrect bank details. If a payout fails or is misdirected because the bank details you gave us were wrong or out of date, the costs of recovery and re-sending are yours, and we are not liable for the delay.
6.7 Taxes on payouts. We pay you gross of your taxes. You are responsible for all tax on your Experiences and on your payouts in your own country. Because JB Pay is for non-US businesses, we rely on your W-8 to treat you as a foreign payee for US information-reporting purposes. If you have a US address, a US bank account, or are a US person, you must tell us and provide a W-9, and we may be required to report your payouts to the US Internal Revenue Service and, if you do not provide a valid form, to withhold. You must tell us within 10 days if your tax status changes.
7. Refunds
7.1 You decide. You decide whether and how much to refund a Guest, in line with the cancellation policy you showed the Guest. We do not adjudicate disputes between you and Guests and do not decide refunds for you, except under Section 7.4.
7.2 Mechanics. Refunds you issue in the Platform go back to the Guest's original card. Our Fee is returned to you in proportion. Card processing costs are not returned. Where an Agency earned commission on the Booking, the Agency's share is clawed back in the same proportion.
7.3 Funding. Refunds are deducted from funds we hold for you. If we hold less than the refund, Section 5.2 applies.
7.4 Our right to refund. We may refund a Guest ourselves, in whole or part, and deduct it from your funds, where we reasonably believe that: the charge was fraudulent or unauthorised; a chargeback is likely and refunding is cheaper than losing it; the Experience was not or cannot be delivered; a Guest has a legal right to the refund that you have not honoured; or a processor, card network or regulator requires it. We will tell you when we do this.
7.5 Cash and other payments. Payments recorded as cash, your own card machine, room charge, voucher or agency account were never handled by us. Marking them refunded in the Platform is bookkeeping only; the actual refund is yours to make outside the Platform.
8. Chargebacks, fraud and reserves
8.1 You bear chargebacks. A chargeback is a Guest's request to their card issuer to reverse a payment. Because you sold and delivered (or did not deliver) the Experience, you bear every chargeback, reversal, dispute and fraudulent charge on your Bookings, together with any dispute fee, fine or penalty the processor or card networks charge us for it. The processor's dispute fee is currently USD 15 per dispute and is passed through at cost.
8.2 Recovery. We deduct chargeback amounts and fees from your next payout. If the next payout is insufficient, Section 5.2 applies. If a chargeback is later reversed in our favour, we return the amount and the fee to you in the next payout.
8.3 Evidence. We will contest chargebacks where we have a reasonable prospect of success. You must give us, within three business days of our request, the evidence we ask for (booking records, waivers, check-in records, communications, cancellation policy as shown, photographs). If you do not, we may accept the chargeback and you still bear it.
8.4 Reserves and payout changes. If we reasonably consider that your account presents elevated risk (for example a dispute rate above card-network thresholds, a rise in refunds or complaints, a change in your business, a large volume of far-future bookings, or information suggesting insolvency), we may do any of the following on notice to you: hold a reserve of a reasonable amount from your funds; delay or change your payout schedule; require a backup card or bank debit authorisation; set limits on advance bookings; or switch JB Pay off. We will release a reserve, less any amounts applied, when the risk has passed and no later than 120 days after the last trip to which it relates.
8.5 Backup payment method. We may require you to keep a valid card or bank debit authorisation on file as a condition of JB Pay and may charge it for any amount you owe us under Section 5.2 after 14 days' notice.
8.6 Fraud by you. If you record Bookings or payments that did not occur, misreport Experiences delivered, or use JB Pay for any unlawful purpose, we may suspend payouts, hold funds pending investigation, switch JB Pay off, close your account, and report you to the processor, card networks and authorities, in addition to any other remedy.
9. Agency sales
9.1 On an Agency sale, we collect the Guest's payment under this Addendum, calculate the Agency's commission at the rate you configured, pay the Agency its share, and pay you the balance less deductions. You consent to that split and to our disclosing the Booking and payout information to the Agency as needed.
9.2 On a refund or chargeback of an Agency sale, the Agency's share is clawed back in the same proportion. If the Agency's share cannot be recovered from the Agency, you bear it.
10. Switching JB Pay off
10.1 You may ask to switch JB Pay off at any time. We may switch it off on 30 days' notice for any reason, and immediately on notice under Sections 8.4, 8.6 or Section 11 of the Terms.
10.2 When JB Pay is switched off: no new card payments are collected under it; Bookings already paid continue to be settled under this Addendum; and we may hold the final payout, or a reasonable reserve from it, for up to 120 days after the last trip paid for under JB Pay, to cover chargebacks and refunds. We then pay the balance less any amounts applied.
10.3 If you owe us more than we hold when JB Pay ends, the shortfall is due within 14 days of our final statement.
11. Insolvency
11.1 If you become insolvent, enter bankruptcy, administration, liquidation or a similar process, or cease trading, we may: hold all funds pending clarity on which Bookings will be delivered; refund Guests whose Experiences will not be delivered under Section 7.4; and apply the rest under this Addendum. Our obligation is to the Guest's refund first for undelivered Experiences and to you for delivered ones.
11.2 Funds in the Operator Funds Account are held for operators and are accounted for by operator and by Booking in the Platform.
12. Your warranties for JB Pay
You represent and warrant, each time a payment is collected under JB Pay, that: the Booking is genuine and for an Experience you intend to deliver; the price and taxes charged are what you showed the Guest; you hold the licences, permits and insurance required for the Experience; you are not using JB Pay to process payments for any other business or for anything outside the Platform; your business remains established in an eligible country or territory under Section 1.4; your tax status form remains accurate; and the information in your JB Pay application remains true.
13. Changes
We may change this Addendum, including fees and payout mechanics, on 30 days' notice by email and in-app. Changes required by our processor, card networks or law may take effect sooner, and we will tell you as soon as we reasonably can. If you do not accept a change you may switch JB Pay off before it takes effect.
14. Survival
Sections 2.2, 4, 5, 6.5, 7, 8, 9.2, 10, 11 and 12 survive the switching off of JB Pay and the end of the Terms until all funds and amounts owed have been settled.
Signature. By typing your name below in the JB Pay application you confirm that you have read and agree to this Addendum on behalf of the Operator, that you are authorised to do so, and that the information in your application is true.
