These Operator Terms of Service (the "Terms") are a contract between Jungle Bee, Inc., a Delaware corporation with its notice address at 2035 Sunset Lake Road, Suite B-2, Newark, Delaware 19702, USA ("Junglebee", "we", "us"), and the business that creates an operator account on the Junglebee platform ("you", the "Operator").
By ticking the acceptance box at sign-up, by continuing to use the platform after being notified of these Terms, or by taking a booking through the platform, you agree to these Terms. If you are accepting on behalf of a company, you confirm that you have authority to bind it. If you do not agree, do not use the platform.
In plain terms. Junglebee gives you software to publish your experiences, manage your calendar and take bookings. You are the seller of every experience you list. You are responsible for delivering it, for describing it accurately, for your prices, taxes and cancellation policy, and for your guests' safety. We are not a tour operator, travel agent or marketplace, and we are not a party to your contract with your guest. If you turn on JB Pay, we collect card payments from your guests on your behalf and pay them on to you under the JB Pay Addendum. We charge 4% of card payments processed through the platform. We do not promise uptime. Our liability to you is capped. You indemnify us for claims arising from your experiences.
1. Definitions
"Platform" means the Junglebee software and services, including the operator desk, booking page, calendar, guest portal, agency portal, channel connections, APIs, mobile and web interfaces and documentation, on both the legacy platform (in service since 2017) and the current platform (launched 2026), and any successor.
"Experience" means any tour, charter, rental, activity, ticket or related product or service you offer through the Platform.
"Guest" means a person who books or participates in an Experience.
"Booking" means a reservation for an Experience recorded in the Platform, however it was made (your website, your desk, an agency, a marketplace or otherwise).
"Agency" means a travel agency or other reseller with its own Platform login that sells your Experiences for a commission.
"Marketplace" means a third-party distribution channel connected to the Platform, such as Viator or GetYourGuide.
"Operator Content" means everything you or your users put into the Platform: descriptions, prices, photos, videos, logos, schedules, policies, taxes and the like.
"Guest Data" means personal information about Guests entered into or generated in the Platform in connection with your Bookings.
"JB Pay" means the payment collection service described in the JB Pay Addendum.
"Stripe Connect" means the alternative payment rail described in Schedule C.
"Fees" has the meaning in Section 7.
The JB Pay Addendum, Schedules A (Acceptable Use), B (Data Processing Addendum) and C (Stripe Connect Terms), and the Privacy Notice are part of these Terms. If they conflict, the order of precedence is: JB Pay Addendum, Schedule C, Schedule B, these Terms, Schedule A, the Privacy Notice.
2. Your account
2.1 You must provide accurate, complete and current information about your business and keep it updated. We may ask at any time for evidence of your business registration, licences, permits, insurance, ownership and authority, and may suspend your account until we receive it.
2.2 You may create logins for your staff at the permission levels the Platform offers. You are responsible for everything done under your account and your staff logins, as if you had done it yourself. Keep credentials confidential and tell us immediately at support@junglebee.com if you suspect unauthorised access.
2.3 The Platform is for business use only. You must be at least 18 and legally able to contract.
2.4 Support access. Junglebee staff can view your account and act within it as if they were you, for support, security, fraud prevention, payout administration and legal compliance. This access is logged. We do not use it to change your prices, policies or content without your request, except as needed to prevent fraud, enforce these Terms or comply with law.
3. Licence to use the Platform
3.1 For as long as these Terms are in force we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business of selling and delivering your Experiences.
3.2 You must not: (a) copy, modify, translate, reverse-engineer or create derivative works of the Platform; (b) resell, sublicense, rent or give third parties access to the Platform except your staff and your Agencies through their own logins; (c) use automated means to extract data from the Platform beyond the exports we provide; (d) interfere with the Platform's security or operation; (e) remove our proprietary notices; or (f) use the Platform to build a competing product.
3.3 We may change, add or remove Platform features at any time. We will give reasonable notice of changes that materially reduce functionality you rely on.
3.4 The Platform, and all intellectual property in it, including improvements and anything built from your feedback, belongs to Junglebee. You may give us feedback; we may use it without obligation to you.
4. You are the seller of record
4.1 You sell the Experience. You are the sole seller and supplier of every Experience you list. The contract for the Experience is between you and the Guest. Junglebee is not a party to it, is not a tour operator, travel agent, marketplace or merchant of your Experiences, and makes no promise to any Guest about any Experience.
4.2 Limited agency. Junglebee is not your agent, except that if you use JB Pay you appoint us as your limited-purpose agent to collect Guest payments on your behalf, strictly as set out in the JB Pay Addendum. Nothing else in these Terms creates an agency, partnership, joint venture or employment relationship.
4.3 Guests are told. The booking page, confirmation emails and Guest Booking Terms tell Guests that they are contracting with you and that Junglebee provides the software and, where applicable, collects payment on your behalf. You must not say or imply otherwise to Guests.
5. Your responsibilities for your Experiences
5.1 Delivery and safety. You are solely responsible for delivering each Experience as described and for the safety of Guests, crew and equipment. This includes vessels, vehicles, equipment, staffing, qualifications, weather decisions, passenger limits, safety briefings and emergency procedures.
5.2 Licences and law. You must hold and maintain every registration, licence, permit, certification and insurance required to operate your Experiences where you operate them, and comply with all applicable laws, including maritime, transport, tourism, consumer, tax, employment, health and safety, anti-discrimination and data-protection law.
5.3 Insurance. You must maintain liability insurance adequate for the Experiences you sell, including passenger and third-party liability, for as long as you use the Platform and for two years afterwards. On request you will provide certificates within 10 business days and name Jungle Bee, Inc. as an additional insured where your policy permits. If you cannot show adequate cover we may suspend your ability to take Bookings.
5.4 Operator Content. You are solely responsible for the accuracy, legality and completeness of all Operator Content, including prices, availability, duration, inclusions, meeting points, restrictions, age and fitness requirements, photographs and taxes. You confirm that you own or have the right to use all Operator Content and that it does not infringe anyone's rights. You grant us a worldwide, royalty-free licence to host, display, reproduce and transmit Operator Content as needed to operate the Platform, including on your booking page, in Guest communications, in the agency portal and to connected Marketplaces, for as long as these Terms are in force and for as long afterwards as needed to service existing Bookings.
5.5 Cancellation policy. You set your own cancellation, refund and no-show policy, per company or per Experience. The Platform shows it to Guests before they pay. You must honour it. Junglebee does not impose a cancellation policy and does not decide disputes between you and Guests.
5.6 Capacity. The Platform enforces the capacity you configure. If you change a vessel, vehicle, schedule or capacity after Bookings exist, or sell the same capacity outside the Platform, any resulting overbooking is yours to resolve at your cost.
5.7 Taxes. You are responsible for determining, configuring, collecting, reporting and remitting every tax, levy and governmental charge that applies to your Experiences. The Platform applies the taxes you configure to Guest bills; we do not calculate your tax liability, do not remit tax for you and give no tax advice. Where we are required by law to report payments made to you to a tax authority, we will.
5.8 Guest communications. Messages sent through the Platform to Guests are sent on your behalf. You are responsible for their content and for having any consent the law requires, including for text messages and marketing.
5.9 Honouring Bookings. You must honour every confirmed Booking made through the Platform, including Bookings made before these Terms end, on the terms shown to the Guest at the time of booking.
6. Agencies and Marketplaces
6.1 Agencies. If you allow an Agency to sell your Experiences, you set its commission and the Platform calculates and tracks it. Agency sales are always settled through JB Pay so that the split can be made; by enabling an Agency you consent to that. Your relationship with the Agency beyond what the Platform records is between you and the Agency.
6.2 Marketplaces. If you connect a Marketplace, the Platform sends your availability and prices to it and receives Bookings and cancellations from it. The sale, the commission, the payment terms and the terms of sale are between you and the Marketplace under its own contract. Junglebee is the technical connection only, is not party to the sale and has no liability for the Marketplace's acts, omissions, payments or policies. If a Marketplace sells capacity you have already sold elsewhere, you resolve it.
7. Fees
7.1 Platform fee. We charge 4% of the amount a Guest pays by card through the Platform (the "Fee"), on every card payment regardless of where the Booking originated. There is no subscription and no per-user charge. Card processing costs are separate, at the processor's rates, and are passed through at cost.
7.2 Who pays the Fee. You choose in your settings whether the Fee is added to the Guest's bill as a visible service fee or absorbed into your price. If you add it, the Platform shows it to the Guest before payment.
7.3 Collection. Under JB Pay the Fee and processing costs are deducted before payout. Under Stripe Connect the Fee is collected as an application fee at the time of the charge and processing costs are charged to your Stripe account by Stripe.
7.4 Refunds. When a card payment is refunded, the Fee is returned in proportion to the refund. Card processing costs are not returned, because the processor keeps them.
7.5 Other amounts. Any other amount you owe us under these Terms (including chargebacks, fines, reconnection fees or costs of collection) is payable within 14 days of our invoice, and we may set it off against any payout due to you.
7.6 Fee changes. We may change Fees on 30 days' notice by email and in-app. If you do not accept a change, you may stop using the Platform before it takes effect.
7.7 No circumvention. You must not use the Platform to find or confirm a Guest and then take payment outside it to avoid the Fee. Bookings you record as cash, your own card machine, room charge, voucher or agency account, where no card is processed through the Platform, do not attract the Fee.
8. Payments
8.1 You choose one payment rail in your settings: JB Pay (we collect card payments into our processor account on your behalf and pay you by bank transfer under the JB Pay Addendum), Stripe Connect (card payments go directly to your own Stripe account under Schedule C), or no online payment (you record payments taken outside the Platform).
8.2 Eligibility. JB Pay is available only to operators established in a Caribbean country or territory where Stripe does not support businesses. If Stripe supports businesses in your country or territory, you must use Stripe Connect and may not use JB Pay. For clarity: Sint Maarten (Dutch side) operators are eligible for JB Pay; Saint-Martin (French side) operators must use Stripe Connect. We decide eligibility and may change it as Stripe's coverage changes. JB Pay is off until you apply and we approve you. The JB Pay Addendum applies from the moment it is switched on.
8.3 Card numbers are entered directly into the processor's secure fields and are never stored by Junglebee. You must never type, upload or store a full card number anywhere in the Platform (including notes, files or messages).
9. Data
9.1 Your data. As between you and us, you own Operator Content and Guest Data. We may use them to operate, support, secure and improve the Platform, to perform these Terms, to comply with law, and in aggregated or de-identified form that does not identify you or any Guest for analytics, benchmarking and product development.
9.2 Guest Data. For Guest Data you enter or generate for your Bookings, you are the controller and we are your processor under Schedule B. You are responsible for having a lawful basis to collect Guest Data, for giving Guests the privacy information the law requires, and for responding to Guests' rights requests. We are an independent controller for the purposes described in the Privacy Notice (payment collection, fraud prevention, dispute handling, legal compliance, and operating your account).
9.3 Export. You can export your Bookings and Guest Data from the Platform at any time. For 30 days after these Terms end we will keep your account in read-only mode so you can export; after that we may delete it, subject to Section 9.4.
9.4 Retention. We keep Booking and payment records for at least seven years from the trip date as financial records, including after these Terms end. Cancelled Bookings are hidden, not deleted. We may anonymise a Guest's profile on request while keeping the financial record.
9.5 Security. We maintain technical and organisational measures appropriate to the Platform as described in Schedule B. You are responsible for the security of your own devices, networks and credentials.
10. Confidentiality
Each party will keep the other's non-public information confidential, use it only to perform these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed or lawfully received from a third party, or that must be disclosed by law (with notice where permitted). Our pricing to you and your payout data are confidential. This Section survives for three years after these Terms end.
11. Suspension
11.1 We may suspend or restrict your account, your ability to take Bookings, or your payouts, with notice where practicable, if we reasonably believe that: (a) you have breached these Terms, Schedule A or the JB Pay Addendum; (b) your account is being used fraudulently or unlawfully; (c) you present an unacceptable chargeback, credit, legal or reputational risk; (d) you have failed to pay an amount due; (e) a Guest, regulator, processor or card network has raised a complaint that we must act on; or (f) you have not provided information or documents we have requested.
11.2 We will lift a suspension when the reason is resolved. We may charge a reconnection fee reflecting our reasonable costs. Suspension does not give rise to any claim against us.
12. Term and termination
12.1 These Terms start when you accept them and continue until terminated.
12.2 By you. You may close your account at any time from your settings or by emailing support@junglebee.com. Closure takes effect 30 days later, or sooner if no future Bookings remain.
12.3 By us. We may terminate on 30 days' notice for any reason, and immediately on notice if you materially breach these Terms, if you become insolvent, if continuing would expose us to legal or regulatory risk, or if your account has been inactive for 12 months.
12.4 Effects. On termination: your licence ends; you must honour existing Bookings; you must pay everything you owe us; Section 9.3 (export) applies; held funds are dealt with under the JB Pay Addendum; and Sections 4, 5.3, 5.9, 7, 9.1, 9.4, 10, 12.4, 13, 14, 15 and 17 survive.
13. Disclaimers
13.1 The Platform is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free, secure or available at any particular time. We will use commercially reasonable efforts to keep it running and to give advance notice of planned maintenance where practical. We do not offer a service level and no service credit or refund arises from downtime.
13.2 To the fullest extent the law allows, we exclude all implied warranties and conditions, including merchantability, fitness for purpose, title and non-infringement, and any warranty arising from course of dealing or usage of trade.
13.3 We are not responsible for Experiences, Guests, Agencies, Marketplaces, processors, banks, telecommunications or hosting providers, or anything else outside our reasonable control.
14. Limitation of liability
14.1 To the fullest extent the law allows, Junglebee, its officers, directors, employees and contractors will not be liable to you for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bookings, goodwill, data or business interruption, however caused and under any theory of liability, even if advised of the possibility.
14.2 Junglebee's total cumulative liability to you for all claims arising out of or relating to these Terms and the Platform, under any theory, will not exceed the greater of (a) the Fees you paid us in the 12 months before the event giving rise to the claim and (b) USD 100.
14.3 These limits do not apply to our liability for fraud, wilful misconduct, or anything that cannot be limited by law. Guest funds we hold on your behalf under the JB Pay Addendum are owed to you as set out there and are not subject to the cap in 14.2.
14.4 You acknowledge that the Fees reflect this allocation of risk and that we would not provide the Platform on these terms without it.
15. Indemnity
15.1 You will defend, indemnify and hold harmless Junglebee and its officers, directors, employees, contractors and successors from and against all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your Experiences, including any injury, death, property damage, delay, cancellation or failure to deliver; (b) Operator Content; (c) your breach of these Terms, Schedule A, Schedule B, Schedule C or the JB Pay Addendum; (d) your breach of any law, including tax, consumer, safety and data-protection law; (e) your dealings with Guests, Agencies and Marketplaces; (f) your negligence or wilful misconduct; (g) chargebacks, refunds and fraud on your Bookings as set out in the JB Pay Addendum; and (h) any claim by a Guest against Junglebee that is properly a claim against you.
15.2 We will defend and indemnify you against third-party claims that the Platform, used as permitted, infringes a US patent, copyright or trademark. We may modify or replace the Platform or terminate your access with a refund of prepaid amounts if any. This does not apply to Operator Content, your modifications, or combinations with things we did not supply. This is your sole remedy for infringement claims.
15.3 The indemnified party will give prompt notice, allow the indemnifying party to control the defence (no settlement that admits fault or imposes obligations on the indemnified party without its consent), and give reasonable cooperation at the indemnifying party's cost.
16. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email to your account owner and in-app, with the new effective date. If you do not accept, you may terminate before that date. Continued use after the effective date is acceptance. Non-material changes (clarifications, new feature descriptions, typographical fixes) take effect when posted. The current version is always at junglebee.com/legal/operator-terms.
17. Governing law and disputes
17.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules.
17.2 Arbitration. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Wilmington, Delaware, in English. Either party may participate by video. Judgment on the award may be entered in any court with jurisdiction.
17.3 Individual basis. Claims may be brought only on an individual basis, not as a class, collective or representative action, and may not be consolidated with another party's claims.
17.4 Carve-outs. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in any competent court to protect intellectual property or confidential information, or to collect undisputed amounts due.
17.5 Costs. The arbitrator may award the prevailing party its reasonable legal fees and costs.
18. General
18.1 Notices. We may notify you by email to your account owner's address or in-app. You notify us at support@junglebee.com or at our notice address above. Email notices are deemed received one business day after sending.
18.2 Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor to our business on notice to you.
18.3 Publicity. We may name you as a customer and show your logo on our website and materials until you ask us in writing to stop.
18.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (excluding payment obligations).
18.5 Entire agreement. These Terms, including the JB Pay Addendum, Schedules and Privacy Notice, are the entire agreement between us on their subject and replace all earlier agreements, including any Jungle Bee User Agreement, Supplier Contract, Agent Contract and earlier terms and conditions.
18.6 Severability and waiver. If any provision is unenforceable it will be enforced to the maximum extent possible and the rest remains in force. A failure to enforce is not a waiver.
18.7 Language. These Terms are written in English. Any translation is for convenience; the English version controls.
18.8 Independent contractors. The parties are independent contractors. Neither can bind the other except as expressly stated.
Schedule A — Acceptable Use Policy
You must not use the Platform, and must not allow your staff or Agencies to use it, to:
- offer any Experience that is unlawful where it is offered or delivered, or that requires a licence, permit or certification you do not hold;
- offer any Experience involving illegal substances, weapons, sexual services, gambling, or wildlife or cultural-heritage activities prohibited by law;
- publish Operator Content that is false, misleading, defamatory, obscene, discriminatory, harassing, or that infringes anyone's intellectual property, privacy or publicity rights;
- enter, upload or store full payment card numbers, card security codes, or government identity numbers of Guests anywhere in the Platform other than in the processor's secure card fields;
- send Guests unsolicited marketing, or any message, without the consent the law requires;
- record Bookings or payments that did not occur, misreport payments, or otherwise use the Platform to commit or conceal fraud, money laundering or tax evasion;
- circumvent or attempt to circumvent Fees, security controls or capacity controls;
- extract data about other operators, Agencies or Guests you are not entitled to see;
- upload malicious code or interfere with the Platform's operation;
- use the Platform in a way that damages Junglebee's reputation or exposes it to legal, regulatory, processor or card-network action.
We may remove content, suspend accounts and report unlawful activity to processors, card networks and authorities, without liability to you.
Schedule B — Data Processing Addendum
This Schedule applies where data-protection law (including the EU GDPR, the UK GDPR, and similar laws) applies to Guest Data that Junglebee processes on your behalf.
1. Roles. You are the controller of Guest Data you enter or generate for your Bookings. Junglebee is your processor for that Guest Data. Junglebee is an independent controller of the data described in the Privacy Notice for payment collection, fraud prevention, dispute handling, legal compliance, platform security, and operating your account.
2. Subject matter and duration. Processing of Guest Data to provide the Platform for the term of these Terms and the retention period in Section 9.4.
3. Nature and purpose. Hosting, storing, displaying, transmitting (to you, your Agencies, connected Marketplaces, the payment processor and email provider), backing up, exporting, anonymising and deleting Guest Data, so that you can take, manage and fulfil Bookings.
4. Data and data subjects. Guests and their companions: name, email, phone, accommodation and room number, booking details, notes you record, payment references (card brand, last four digits, expiry, processor token; never full card numbers), communications. Your staff and Agency users: name, email, role, activity logs.
5. Your instructions. We process Guest Data only on your documented instructions, which are these Terms, your use of the Platform's features and settings, and any written instruction you give us, unless the law requires otherwise, in which case we will tell you unless prohibited.
6. Confidentiality. Our personnel with access to Guest Data are bound by confidentiality obligations and access only what their role requires.
7. Security. We maintain measures appropriate to the risk, including: encryption in transit (TLS) and at rest at our hosting providers; role-based access enforced at the database level so an operator sees only its own Guests; logged administrative access; separation of card data to the processor (PCI DSS compliant); backups; error monitoring; and review of sub-processors.
8. Sub-processors. You authorise the sub-processors listed in the Privacy Notice (currently: Stripe (payments); Vercel and its managed database and storage providers (hosting, current platform); Amazon Web Services (hosting, legacy platform); Postmark (email); Sentry (error monitoring)). We will give at least 30 days' notice before adding or replacing a sub-processor by updating the Privacy Notice and emailing your account owner. You may object on reasonable data-protection grounds; if we cannot resolve the objection you may terminate. We remain responsible for our sub-processors.
9. Assistance. Taking into account the nature of the processing, we will assist you with reasonable technical and organisational measures to respond to data-subject requests (the Platform provides export and anonymisation tools), and with security, breach notification, impact assessments and consultations with authorities, to the extent the information is available to us. We may charge for assistance beyond the Platform's built-in tools.
10. Breach notification. We will notify you without undue delay, and in any case within 48 hours, after becoming aware of a personal-data breach affecting your Guest Data, with the information we have, and will update you as we learn more.
11. International transfers. Guest Data is hosted in the United States. Where Guest Data is transferred from the EEA, UK or Switzerland, the parties enter into the EU Standard Contractual Clauses (Module 2, controller-to-processor) and, for UK data, the UK International Data Transfer Addendum, which are incorporated by reference, with you as data exporter and Junglebee as data importer, governed by Irish law (EU) and English law (UK), with the options and annexes completed by this Schedule and the Privacy Notice.
12. Deletion and return. You may export Guest Data at any time. After these Terms end and the 30-day export window in Section 9.3, we will delete or anonymise Guest Data, except Booking and payment records we must retain under Section 9.4 or by law, which remain protected by this Schedule.
13. Audit. On written request no more than once a year, we will provide information reasonably necessary to demonstrate compliance with this Schedule, including summaries of third-party audits or certifications of our hosting providers. Where that is insufficient, you may conduct an audit at your cost, on 30 days' notice, during business hours, subject to confidentiality and without disrupting our operations or other customers.
14. Liability. Liability under this Schedule is subject to Section 14 of the Terms.
Schedule C — Stripe Connect Terms
This Schedule applies if you choose Stripe Connect as your payment rail.
- Your Stripe account is your own. It is governed by the Stripe Connected Account Agreement (stripe.com/legal/connect-account) and the Stripe Services Agreement, which you must accept during onboarding. Stripe, not Junglebee, verifies your identity, approves your account and pays you out on your schedule in your currency.
- You authorise Junglebee, as your Stripe Connect platform, to perform activity on your Stripe account on your behalf as needed to operate the Platform: creating charges and payment intents when Guests pay, issuing refunds you initiate, saving card tokens with Guest consent, reading transaction and dispute data, and submitting dispute evidence you provide. We will not perform activity you have not initiated through the Platform except to prevent fraud or comply with law.
- Charges are made directly on your Stripe account. You are the merchant of record with Stripe. Junglebee collects its Fee as an application fee at the time of the charge. Stripe's processing fees are charged to your Stripe account by Stripe.
- Refunds, chargebacks, dispute fees, fines and negative balances on your Stripe account are your responsibility and are debited by Stripe from your Stripe balance under your agreement with Stripe. Junglebee has no payout obligation to you under Stripe Connect and holds none of your funds. If Stripe or a card network charges Junglebee any amount because of your account, you will reimburse us within 14 days and we may set it off against any Fee refund or other amount due to you.
- We may share your account and transaction data with Stripe, and receive it from Stripe, as needed to provide the Platform and as described in the Privacy Notice.
- If Stripe suspends or closes your account, your ability to take card payments through the Platform stops until you resolve it with Stripe or switch to another rail.
- Agency sales always settle through JB Pay (Section 6.1), even if your default rail is Stripe Connect, and the JB Pay Addendum applies to those payments.
